These Terms of Service govern your access to and use of FunSpot.ai, the business owner surface at app.mw3.biz/funspot, and any FunSpot APIs (collectively the "Service"). The Service is operated by MW3.BIZ International Business Ltd, registered in England and Wales ("FunSpot", "we", "us"). By using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance and changes

These Terms form a binding contract between you and FunSpot. We may update them when our practices, partners, or applicable law change; material changes will be notified at least 30 days in advance by email, in-product banner, and a notice on funspot.ai. Continued use after the effective date of an update means you accept it. The version in force is the one shown on this page at the time you use the Service.

2. Eligibility

You must be at least 18 years old to create an account, send or receive social gifts, send messages, withdraw funds, or use any age-restricted feature. Some features (alcohol gifts, certain nightlife suggestions) require additional verification of legal drinking age in your jurisdiction. You also confirm that you are not on a UK, EU, US, or UN sanctions list and not located in a country to which the UK or EU restricts the export of goods and services.

3. Account

You are responsible for the accuracy of your account information, the security of your authentication factors, and any activity that occurs under your account. Notify us immediately at security@funspot.ai if you suspect unauthorised access. You may have one personal account; you may have one business owner account per legal entity you control. Sharing accounts is not permitted.

4. Acceptable use

You agree not to: scrape, crawl, or harvest data from the Service except via our published API and within published rate limits; reverse-engineer the concierge, the AI moderation pipeline, or any other component; submit content that infringes intellectual property, defames, harasses, or threatens others; submit prompts or content designed to bypass safety filters or manipulate the concierge into producing prohibited output; impersonate another person or business; send unsolicited commercial messages; introduce malware, ransomware, or spyware; conduct payment fraud or money laundering; or use the Service in violation of any applicable law.

5. Your content

You retain ownership of the content you submit (chat messages, reviews, photos, listing data, business owner responses). You grant FunSpot a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, and create derivative works of your content for the limited purpose of operating, improving, and securing the Service, and to use anonymised content (no account ID, IP, or message text that identifies you) to train and evaluate our concierge models. You confirm you have the rights necessary to grant this licence.

6. AI services and disclaimers

The FunSpot concierge produces responses generated by artificial intelligence based on retrieval of venue data, press citations, and your query. Outputs are provided for your information only. FunSpot does not warrant that any concierge response is accurate, complete, current, or fit for any specific purpose. You are responsible for verifying any operational detail (venue opening hours, prices, allergens, accessibility) directly with the venue before relying on it. AI moderation may incorrectly approve or reject content; you can dispute moderation outcomes via your account.

7. Credits, payments, and refunds

Paid features run on credits at a fixed conversion of 1 USD = 1,000,000 credits. Top-ups are processed by Stripe and credited to your wallet on successful payment. Credits do not expire while your account is active. Credits are not legal tender, are not redeemable for cash except via the Withdrawals process below, and are non-transferable between accounts. Refunds are issued only where required by consumer law (UK Consumer Rights Act, EU Distance Selling) or where a paid feature was unavailable for a continuous period exceeding 24 hours.

8. Withdrawals

If you have a positive wallet balance and an eligible role (verified business owner, or end-user with a connected Wise recipient), you may withdraw to a bank account via Wise. Each withdrawal triggers an automated AML pre-check; flagged requests pause for human review and clear within 24 hours unless we identify a regulatory concern. Wise applies its own fees and exchange rate which we surface in the estimate before you submit. Withdrawal records are retained for 7 years per UK financial-services rule. Reversals are subject to Wise's terms and our fraud-investigation outcome.

9. Business owner verification and Google Business Profile

Business owners may claim a venue and connect their Google Business Profile via OAuth to access owner-only insights and posts. By connecting GBP, you authorise FunSpot to read your venue's performance metrics, manage posts, and reply to reviews on your behalf within the scope you grant. You may revoke the connection at any time. Verification of business identity is a precondition to receiving paid features and Wise withdrawals; we may decline or revoke verification on AML grounds.

10. Social gifting

FunSpot facilitates user-to-user paid gifts mediated by enrolled venues. The sender pays for the item plus FunSpot's platform commission; the venue acknowledges and serves the gift. Gifts can be table-bound or QR-bearer. The recipient may decline (full refund). Age-restricted items require verified adult status on both sender and recipient. FunSpot is not the seller of the underlying goods or services; the venue is. We are an intermediary that handles escrow, moderation of accompanying messages, and refund logic.

11. Reviews and reputation

Reviews of venues and people-endorsements are subject to AI moderation against our community guidelines (no harassment, no hate speech, no personal information, no off-platform contact requests, no scams). People-endorsements are positive-only by design. Trust Score is a behavioural reputation signal computed from your verified actions on the Service; we surface it as a band, not a precise number. You can dispute a moderation outcome or a Trust Score adjustment via your account.

12. Intellectual property

FunSpot, the FunSpot logo, the concierge product, the heatmap design, and all software powering the Service are owned by MW3.BIZ International Business Ltd or its licensors and are protected by intellectual-property laws. We grant you a personal, non-transferable, non-exclusive licence to use the Service per these Terms. No other rights are granted by implication, estoppel, or otherwise.

13. Notice and takedown

If you believe content on the Service infringes your rights, send a written notice to legal@funspot.ai with the URL or content reference, identification of the infringed right, your contact details, and a statement made under penalty of perjury that you are the rights holder or authorised to act for them. We will review and act within 14 days; users whose content is removed may submit a counter-notice.

14. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or trade usage. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defect will be corrected. Nothing in this clause limits liability for fraud, fraudulent misrepresentation, death, or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.

15. Limitation of liability

To the maximum extent permitted by law, FunSpot's total cumulative liability arising out of or relating to these Terms or the Service shall not exceed the greater of the fees you paid us in the 12 months preceding the claim, or 100 GBP. We are not liable for indirect, incidental, special, consequential, or punitive damages, lost profits, lost revenue, or loss of data, even if advised of the possibility. This clause does not exclude liability that cannot be excluded under applicable law.

16. Indemnification

You will defend, indemnify, and hold harmless FunSpot and its directors, officers, employees, and agents from any third-party claim arising out of: your breach of these Terms, your violation of applicable law, your content, or your use of the Service in a manner not authorised by these Terms.

17. Termination

You may close your account at any time from the account settings. We may suspend or terminate your access immediately if you breach these Terms, if your account is used for fraud or abuse, or if a regulator requires us to. On termination we delete your account data per the retention schedule in the Privacy Policy; financial records and AML evidence are retained for the legally required periods. Sections that by their nature should survive termination — IP, disclaimers, liability, indemnity, governing law — will survive.

18. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any dispute will be resolved in the courts of England and Wales, except that consumers may also bring proceedings in the courts of their habitual residence as required by applicable consumer protection law. Before filing a claim, please contact us at legal@funspot.ai so we can attempt to resolve the matter informally; if we cannot, EU consumers may use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

19. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver of that right. You may not assign these Terms without our consent; we may assign them in connection with a corporate reorganisation. There are no third-party beneficiaries. These Terms together with our Privacy Policy constitute the entire agreement between you and FunSpot regarding the Service.
